1. CREATING A MEMBERSHIP ACCOUNT

  1.  When you sign up to be a Member, you will need to create an account, as prompted by the Website (Membership Account). All information you provide must be current, true, complete and accurate information.
  2. IBIS VENTURES LIMITED trading as yournetmum.com (yournetmum.com) reserves the right to reject any application to become a Member and to revoke or suspend any membership for any reason whatsoever.
  3. All Members must keep their username and password secure at all times. Each Member is responsible for all use of the website and products using their username and password.
  4. No Member may permit or allow any other person to use their membership account. If we discover that a member is doing so, we may (at our sole discretion) immediately cancel their membership and/or subscription and may additionally require payment to cover the unauthorized use.

2. GOVERNING LAW AND JURISDICTION

  1. These Terms and your use of the Website and Products is governed by New Zealand law and you agree to submit to the exclusive jurisdiction of the courts of New Zealand for any disputes or proceedings arising out of or in connection with these Terms.

3. BINDING TERMS

  1. By accessing and using the yournetmum.com (Website) and any of the products available on it (Products), all registered members (Members, you and your) agree with yournetmum.com (yournetmum.com, we, us and our) to be bound by these terms and conditions (Terms). Any Member that does not agree to these Terms is not authorised to access and use the Website and/or the Products.

4. CHANGES TO THESE TERMS

  1.  We may change these Terms at our discretion from time to time. The most current version of the Terms published on the Website will apply from the time of publication and will supersede and replace all previous versions.  We will endeavor to bring these changes to the attention of existing users by way of email and/or a notice on the website.

5. INDIVIDUAL’S ELIGIBILITY

  1. To be a Member as an individual, you must be over the age of 16 years and have a valid email address that you provide to us and keep current.
  2.  To become a subscriber for our Products as an individual (Individual Subscriber), you must be a Member and have a valid credit/debit card that you keep current to allow payment of applicable subscription fees in accordance with these Terms.

6. BUSINESS ELIGIBILITY

  1. To be a Member as a business, you must have a valid email address that you provide to us and keep current.
  2. To become a subscriber for our Products as a business (Business Subscriber), you must be a Member and provide sufficient details to allow yournetmum.com to invoice you for the applicable business subscriber rate in accordance with these Terms.

7. PRODUCTS

  1. We may make changes to our Products at our discretion from time to time, including by:
    1. making changes to the content;
    2. altering the format of the Products or the mechanism for delivery; and/or
    3. changing, adding video’s or removing functionality of the Website.

8. LAWFUL PURPOSE

  1. You agree that you may only use the Website and the Products for lawful and authorised purposes. All rights not expressly granted under these Terms are expressly reserved by yournetmum.com

9. INDEMNITY

  1. You agree to indemnify yournetmum.com, its directors, employees, officers and agents from and against all losses, expenses, damages and costs (including reasonable legal costs) arising out of your use of the Website and the Products or from any breach of these Terms by you (including negligent or wrongful conduct by you or any other person accessing the Website and/or Products in your name or on your behalf).

10. EXCLUSION OF LIABILITY

  1. Except to the extent that liability cannot be excluded by law (including under the Consumer Guarantees Act 1993, Fair Trading Act 1986 and other statutes), yournetmum.com will not be liable for any direct, indirect, incidental or consequential loss, damage, expense, claim, action or liability of any nature arising out of your use of the Website, the Products or under these Terms. In particular, yournetmum.com:
    1. does not make any guarantees about the Website and/or the Products; and
    2. will not be responsible for (i) any damage caused by viruses, bugs, or other malicious code; (ii) any damage to your equipment or property; (iii) any loss or damage that you or another person suffer in connection with the Website and/or the Products, including during periods of unavailability and/or as a result of any reliance on information and/or advice obtained (whether wholly or partially) through the Website and/or the Products; (iv) any data charges you incur; or (v) any other loss or damage that is too remote or not reasonably foreseeable.
  2. You agree that where you are a Business Subscriber, the Consumer Guarantees Act 1993 will not apply.
  3. To the extent that yournetmum.com is liable for any reason for any loss suffered or liability incurred by you arising from any breach of these Terms, or for any other reason, such liability is limited to the maximum aggregate amount of NZD$100.00.

11. TECHNICAL ISSUES

  1. We will try to promptly address (during normal business hours) all technical issues that arise in relation to the Website and the Products. However, we will not be liable for any loss or damage suffered as a result of any partial or total breakdown of the Website and/or the Products or any technical malfunctions, the Website and/or the Products being unavailable or performing slowly, or any viruses or other forms of interference that may damage any Member’s computer system.

12. LINKS

  1. You acknowledge and agree that links and references on the Website to external websites or third party material (including, where applicable, advertisements) are not controlled by yournetmum.com and as such yournetmum.com is not responsible for those links including the content or privacy policies of such external websites.

13. INTELLECTUAL PROPERTY

  1. You agree that yournetmum.com owns or has a license to all of the intellectual property and proprietary rights (including, without limitation, all copyright) existing in the Website and the Products and all content on or contained therein, including all text, images, videos, logos and layout (the Website Material).
  2. You agree not to in any way copy, reproduce, republish, upload, post, transmit, distribute or store or modify the Website Material in whole or in part without yournetmum.com prior written consent.
  3. Absent prior written agreement between yournetmum.com and you to the contrary you agree to provide an irrevocable, royalty free license to any information you provide to yournetmum.com or on the yournetmum.com platform.  You further warrant that you have the right to provide this information to yournetmum.com on these terms.

14. PAYMENT

  1. You acknowledge and agree that payment of subscription fees is as set out in this clause.
  2. For Individual Subscribers, the relevant subscription fee will be charged in advance to your nominated credit/debit card at the time you subscribe. We will use a service provider (chosen by us at our sole discretion) to charge your nominated credit/debit card.
  3. We may, at our sole discretion, change the subscription fee and we will provide you with written notice in advance of any such change. Unless you have advised us in writing that you wish to cancel your subscription, we will charge you the updated subscription fee in accordance with this clause.
  4. You are responsible for ensuring that all transaction, credit/debit card and other details are correct and kept up to date. You must advise us of any changes to these details.  At the end of your subscription period, your subscription will automatically renew, unless you have advised us in writing in advance that you wish to cancel your subscription no less then 3 working days prior to the end of the subscription period.  If we try to deduct payment from your card, but payment is declined, then we may continue to attempt to deduct such payment from your card until payment in full is received by us.   If we cannot deduct such payment from your card, then we may, at our sole discretion, cancel your subscription.
  5. Unless otherwise stated or agreed all subscriptions are for a one month term. The subscription fees are as advised by us in writing and may change from time to time.
  6. We will invoice you for the applicable subscription fee at the time of subscription. Your subscription will renew automatically and we will invoice you for the renewed subscription period, unless you have advised us in writing no less then 3 working days prior to the end of the current billing period  that you wish to cancel your subscription.
  7. Payment for your subscription will be due and payable on or before the 7th day of the month following the date of the invoice from us, except where we have agreed in writing that other terms shall apply. If you fail to pay us in accordance with this clause, we may (at our sole discretion) terminate or suspend your membership and/or subscription.

15. CANCELLATION

  1. If you wish to cancel your membership and/or subscription, you can do so by emailing us notice of cancellation at support@yournetmum.com or by such other mechanism we may provide on our website.
  2. For subscription cancellations, we will not refund subscription fees which have already been paid. By cancelling your subscription, your subscription will not be renewed and no further fees will be payable by you.
  3. If you are not 100% satisfied with your subscription, please contact us at support@ yournetmum.com to discuss.

16. SUBMISSION OF PITCHES

  1. You may use the Website to submit a business pitch to our network of business leaders via support@yournetmum.com
  2. You agree that yournetmum.com does not in any way guarantee that a pitch submitted will result in any further discussion or development.

17. ENTIRE AGREEMENT

  1. These Terms, together with the yournetmum.com Privacy Policy, supersede  all prior agreements, representations (whether oral or written) and understandings and constitute the entire agreement and understanding between you and yournetmum.com relating to the Website, Products and the other matters dealt with in these Terms.

18. WAIVER

  1. Any non-enforcement by yournetmum.com of any of our rights under these Terms will not constitute a waiver of those rights. Any waiver by yournetmum.com of those rights will not constitute a waiver on any subsequent occasion. No waiver will be effective unless made in writing.

18. PRIVACY

  1. We collect and treat personal information in accordance with the Privacy Act 1993. More details can be found in our Privacy Policy.  To request access to or correction of your personal information, please contact us at support@ yournetmum.com

19. ASSIGNMENT

  1. We may assign any or all of our rights and obligations pursuant to these Terms without the need to obtain your consent.
  2. You may only assign any or all of your rights and obligations pursuant to these Terms with our prior written consent.

20. SEVERABILITY

  1. If any part of these Terms is found to be invalid or unenforceable, it shall be modified so as to be valid and enforceable (as the case may be), or if modification is not reasonably possible, then it will be treated as deleted from these Terms and the rest of these Terms will continue to operate.
